Terms & Conditions.
1. Definitions
1.1 “Company” means
The Wedding Shortlist Ltd.
1.2 “Website” means www.theweddingshortlist.co.uk.
1.3 “Supplier” means the business applying for a Listing Space on the Website.
1.4 “Listing Space” means the online profile or listing granted to a Supplier for a fixed period.
1.5 “Listing Term” means the duration of the Supplier’s Listing Space, as agreed at acceptance.
2. Application and Acceptance
2.1 All Suppliers must apply to be listed on the Website.
2.2 The Company reserves the right to accept or reject any application at its sole discretion.
2.3 A new application will be required for any subsequent Listing Spaces once the initial Listing Term ends.
3. Fees and Payment
3.1 Suppliers must pay the fee specified by the Company upon acceptance of their application.
3.2 All fees are non-refundable except where required by law.
4. Supplier Obligations
4.1 The Supplier warrants that all information and materials provided for the Listing Space are accurate, complete, and not misleading.
4.2 The Supplier warrants they own or have permission to use all intellectual property rights in any text, images, or other content provided.
4.3 The Supplier shall update their information promptly to ensure it remains accurate.
4.4 The Supplier must comply with all applicable laws and regulations, including UK data protection laws.
5. Warranties and Indemnity
5.1 The Supplier agrees to indemnify and hold harmless the Company against any claims, damages, costs, or expenses arising from:
(a) any breach of these Terms and Conditions;
(b) any infringement of intellectual property rights of a third party due to materials provided by the Supplier.
6. Content Moderation
6.1 The Company reserves the right to edit, remove, or refuse to publish any content which it deems inappropriate, inaccurate, or not aligned with its standards.
7. Term and Termination
7.1 The Listing Term will run for the agreed duration.
7.2 Either party may terminate the Listing by giving 30 days’ written notice.
7.3 The Company may remove a Supplier immediately if they breach these Terms and Conditions.
7.4 If the Supplier terminates before the end of the Listing Term, no refund will be due.
8. Limitation of Liability
8.1 The Company makes no guarantee of any particular level of enquiries or bookings.
8.2 To the fullest extent permitted by law, the Company shall not be liable for any indirect, consequential, or special loss.
8.3 The Company’s total liability shall not exceed the fees paid by the Supplier for the Listing Term.
9. Intellectual Property
9.1 The Supplier retains ownership of their materials.
9.2 The Supplier grants the Company a non-exclusive, royalty-free licence to use, reproduce, and display the materials for the purposes of operating and promoting the Website.
10. Force Majeure
10.1 The Company shall not be liable for any failure to perform its obligations where such failure is due to circumstances beyond its reasonable control.
11. Entire Agreement
11.1 These Terms and Conditions constitute the entire agreement between the parties regarding the Listing Space and supersede any prior agreements or communications.
12. Changes to Terms
12.1 The Company may update these Terms and Conditions from time to time and will notify the Supplier of any significant changes in writing or by email.
13. Governing Law and Jurisdiction
13.1 These Terms and Conditions shall be governed by and construed in accordance with English law.
13.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
